Terms of Use

1. Acceptance of Terms

By downloading, installing, accessing, or using the zeitick mobile application ("App") and related services ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App or Service.

These Terms constitute a legally binding agreement between you and zeitick. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the App after any such modifications constitutes your acceptance of the modified Terms.

2. Account Registration

2.1 Account Requirements

To use certain features of the App, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

2.2 Age Requirement

You must be at least 13 years old to use the App. If you are under 18, you represent that you have your parent's or guardian's permission to use the App and that they have agreed to these Terms on your behalf.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3. User Conduct

3.1 Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, state, national, or international law or regulation
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to track time for illegal activities
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest information about other users

3.2 Content Accuracy

You are solely responsible for the accuracy of all data, information, and content you enter into the App, including but not limited to time entries, project information, customer data, and invoice details. We are not responsible for any errors or inaccuracies in your data.

4. Service Description

4.1 Service Features

zeitick provides time tracking, project management, customer management, invoicing, and analytics services. The Service allows you to:

• Track time using timers or manual entries
• Create and manage projects and customers
• Generate invoices from time entries
• Collaborate with team members
• View analytics and reports

4.2 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

4.3 Service Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time, with or without notice. We are not obligated to maintain or support any particular version of the App or feature.

5. User Roles & Permissions

5.1 Role Types

The Service supports three user roles:

• Admin: Full access to all features and data within the organization
• Project Manager: Can create and manage projects, view team time entries, and manage assigned projects
• Standard User: Can track time on assigned projects and view their own data

5.2 Role-Based Access Control

Access to features and data is controlled by user roles. Users can only access data and perform actions permitted by their assigned role. Admins can assign roles and manage user permissions.

5.3 Project Assignments

Users can be assigned to projects with specific roles (manager or participant). Project assignments determine what projects a user can access and what actions they can perform.

5.4 User Invitations

Admins can invite users via email. Invitation tokens have expiration dates. Users accept invitations through the App, which may use deep linking (zeitick://invite?token=...).

6. Data Ownership

6.1 Your Data

You retain all ownership rights to your data, including time entries, projects, customers, invoices, and other content you create or upload to the Service.

6.2 Data Export

You have the right to export your data at any time. The Service provides CSV export functionality for your convenience. You are responsible for maintaining backups of your important data.

6.3 Data Deletion

Upon account termination, you may request deletion of your data. We will delete your data in accordance with our Privacy Policy and applicable data protection laws. Deletion may take up to 30 days to complete.

7. Billing & Payments

7.1 Invoice Generation

The Service allows you to generate invoices from your time entries. These invoices are created by you and are your responsibility. We do not process payments or handle billing on your behalf. You are solely responsible for collecting payments from your customers.

7.2 Subscription Fees

If the Service includes subscription fees, such fees will be clearly disclosed before you subscribe. Subscription fees are charged through the Apple App Store in accordance with Apple's terms and conditions.

7.3 Refunds

Refund requests for App Store purchases must be submitted through Apple's refund process. We do not process refunds directly.

8. Intellectual Property

8.1 App Ownership

The App, Service, and all related content, features, and functionality are owned by zeitick and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 User Content Ownership

You retain ownership of all content you create, upload, or submit to the Service. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service to you.

8.3 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the App or Service, nor may you reverse engineer or attempt to extract the source code of the App, unless laws prohibit such restrictions.

9. Termination

9.1 Termination by You

You may terminate your account at any time by deleting the App or contacting us to request account deletion. Upon termination, your access to the Service will cease.

9.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice, if you violate these Terms or engage in fraudulent, illegal, or harmful activity.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive termination.

10. Limitation of Liability

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Warranty for Accuracy

We do not warrant that the Service will be accurate, complete, reliable, current, or error-free. You are solely responsible for verifying the accuracy of your data and invoices generated using the Service.

10.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEITICK, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

10.4 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which zeitick operates, without regard to its conflict of law provisions.

11.2 Dispute Resolution Process

In the event of any dispute arising out of or relating to these Terms or the Service, you agree to first contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may pursue resolution through binding arbitration or in a court of competent jurisdiction.

11.3 Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action or consolidated proceeding.

12. Changes to Terms

12.1 Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. We may also notify you via email or through the App.

12.2 Acceptance of Changes

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and zeitick regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
